Upon completion of this module, the incumbent will be familiar with their legal compliance obligations regarding confidentiality and trade secrets.
At HIV, we believe that it is imperative that our potential members of staff are fully aware of what it means to be a part of the HIV team at the outset. For that reason, we will now take you through one of the foundation clauses in our contract of employment. We do this to ensure that you understand the terms of the contract, that you have an opportunity to ask any questions you may have to cement that understanding, and therefore can responsibly agree to our conditions. During the probation period, it is equally important for you to decide whether HIV is the workplace for you, as it is for us to ascertain your fitness and appropriateness for the role. To this end, we ask that you wait until your induction training is complete before signing the agreement. However, if you decide that HIV is not for you, we ask that you do not disclose anything you have learned during HIV induction.
This is also the foundation of our contract of employment. Confidentiality is the basis of our business; it is what our clients expect from us and what we expect from you. You will be required to maintain strict secrecy about our technology and the nature of your work at HIV – the general rule is, don’t speak to anybody about anything – however, we reasonably assume that you will need to discuss some aspects of your work with other staff members. If, for any reason, you feel compelled to discuss HIV’s business, you must first speak to our legal team, who will advise you further. In these matters, the legal team will speak on behalf of you and of HIV.
At HIV, our Gemini technology is what differentiates us in the market, and it is the basis of our success. In short, we are the only company to harness this technology, and we want to keep it that way. To that end, the technology has not been patented, as this would require us to disclose our methods and would allow others to reproduce it. Instead, all of our employees are bound by trade secrets clauses in all of our contracts. Failure to abide by this clause will result in immediate termination of your employment. If you attempt to sell, trade or otherwise disclose HIV’s trade secrets to any other party, you will be prosecuted, and we will also claim for any potential or actual loss or damage to the company, supported by the full resources of our legal team.
It is unlikely, however, that a competitor would be able to reverse engineer our technology on the basis of a rogue staff member’s knowledge of the systems. Gemini was designed as a self-sustaining system so that it is simply not necessary for any user to be fully conversant in either its production or its internal functionality – the user is only required to maintain unity of the Gemini agents while Gemini does its own work. Of course, our competitors may believe that your knowledge might in some way aid them to develop of a similar system. In the event that you receive an illicit offer from one of our competitors, we are confident that your HIV remuneration package will stay any temptation you might have to accept a bribe. In the event of any unauthorised offer, you must advise your manager or our legal team immediately.
In fact, HIV has never had an employee breach our confidentiality agreement, despite a number of reported attempts at bribery. We believe this to be the inevitable consequence of the benefits of HIV employment, which go well beyond the mere financial. You will find, in estimating these benefits, that HIV inspires loyalty in our staff, and we encourage you to seek a life-long career with HIV. To this end, you will be appointed a mentor from HIV’s people leaders, who will advise and guide you in your chosen career path.
